01. Binding Legal Agreement & Contracting Parties
These Terms of Use and Sales Terms (hereinafter referred to as the "Terms" or "Agreement") constitute a legally binding commercial contract executed between you (whether acting individually as a retail consumer or on behalf of a commercial workshop, tuning facility, or corporate entity, hereinafter "Buyer", "Customer", or "You") and M Ali Zeirbani Trading Ltd (operating commercially under the trademark and business style Lord of BMW, hereinafter "Company", "We", "Us", or "Supplier").
M Ali Zeirbani Trading Ltd is a private limited company duly organized and existing under the corporate laws of the Republic of Cyprus, bearing Department of Registrar of Companies Registration Number HE429180, with its principal commercial offices and logistics operations situated in Nicosia, Cyprus.
By accessing our digital automotive catalog, utilizing our vehicle compatibility tools, establishing a customer account, requesting technical consultation, or completing an order for automotive parts, components, hardware, or digital calibrations, you explicitly acknowledge that you have read, understood, and unreservedly agree to be bound by all stipulations set forth within these Terms. If you do not agree unconditionally to these terms, you are prohibited from utilizing this portal and completing purchase transactions.
02. Account Registration, Security & Commercial Integrity
When establishing an account on Lord of BMW, you agree to provide true, accurate, current, and complete registration information. You are solely responsible for maintaining the strict confidentiality of your account credentials, passwords, and API tokens, and for restricting unauthorized access to your devices.
You agree to accept full responsibility for all activities, orders, quotations, and financial transactions executed under your account. You must notify us immediately upon suspecting any unauthorized use of your credentials. Lord of BMW reserves the unrestricted right to refuse service, terminate accounts, revoke trade portal access, or cancel orders at its sole discretion if fraudulent, deceptive, or unauthorized activity is detected.
03. Technical Fitment Verification & Buyer Responsibility
Automotive engineering for BMW marque vehicles involves highly specific variations across production model years, chassis designations (e.g., E30, E36, E46, E90, E92, F30, F80, F82, G20, G80), engine codes (e.g., N52, N54, N55, S55, B58, S58), drivetrain configurations (sDrive vs xDrive), and Mid-Cycle Facelift (LCI vs. Pre-LCI) production revisions.
Mandatory Buyer Fitment Verification: While Lord of BMW provides detailed product specifications, OEM cross-reference part numbers, and compatibility charts as general guidance, the Buyer bears the ultimate responsibility for confirming that the ordered component is physically, electrically, and mechanically compatible with the specific target vehicle prior to order placement and prior to initiating mechanical installation.
We strongly urge all customers to submit their complete 17-character Vehicle Identification Number (VIN) to our technical support desk for pre-order compatibility verification. Orders placed without prior VIN verification that result in incorrect fitment are subject to standard return shipping rules and restocking fees.
04. Pricing Structure, Cross-Border VAT & Payment Settlement
All prices displayed across our platform are denominated in Euros (€ / EUR) unless an alternate currency selector is actively toggled. We reserve the right to modify prices for components at any time without prior notice due to manufacturer price fluctuations, raw material surcharges, or foreign currency exchange shifts.
Value Added Tax (VAT) Governance:
- Domestic Cyprus & EU Retail Consumers: Orders delivered within Cyprus and to private consumers residing within the European Union include applicable Cyprus VAT (or destination member state VAT under EU OSS regulations) calculated at checkout.
- EU B2B Reverse-Charge Mechanism: Validated corporate entities registered for VAT within another EU member state who provide a verified VIES VAT identification number are invoiced with zero-rated intra-Community supply (Reverse Charge applied pursuant to Article 196 of EU VAT Directive 2006/112/EC).
- Non-EU International Exports: Orders dispatched to destinations outside the European Union (e.g., UK, USA, Switzerland, GCC) are billed net of European VAT. Import taxes and local tariffs are handled as outlined in Section 6.
Orders are fulfilled only upon receipt of cleared funds through authorized payment gateways (Stripe, PayPal, or verified bank wire transfer).
05. Order Validation, Inventory Allocation & Cancellation
Receipt of an electronic order confirmation does not signify our final acceptance of your order, nor does it constitute an irrevocable confirmation of an offer to sell. Lord of BMW reserves the right at any time after receipt of your order to accept or decline your order for any legitimate commercial reason, including component unavailability, typographical pricing errors, or automated fraud alerts.
In the event that an ordered component is subject to unexpected factory backorder from Germany, our technical sales desk will notify you immediately with an estimated manufacturing lead time, offering the choice between backorder retention, alternative component substitution, or a full refund. Order cancellations prior to warehouse packaging and dispatch are processed without cancellation penalties.
06. Global Shipping, Delivery Protocols & Incoterms 2020
All consignments originate from our central fulfillment hub in Nicosia, Cyprus, and are dispatched globally via certified international logistics carriers (DHL Express, FedEx, UPS, DPD, or national tracked postal services).
Incoterms & Customs Responsibilities (DAP — Delivered at Place): International shipments dispatched to non-EU destinations are delivered under Incoterms 2020 DAP terms. The Buyer is exclusively responsible for paying all applicable import duties, customs tariffs, border clearance brokerage fees, and local value-added taxes levied by customs authorities in the destination country.
Failure or refusal by the Buyer to pay customs import fees resulting in parcel abandonment or carrier return will result in round-trip shipping expenses and customs handling fees being deducted from any refundable balance.
07. Transfer of Risk, Title & Mandatory 48-Hour Inspection
Risk of loss, damage, or degradation of the goods transfers to the Buyer upon physical handover of the parcel by the courier to the designated delivery address. Title of ownership passes to the Buyer only upon full, unconditional settlement of all invoiced amounts.
Mandatory 48-Hour Inspection Window: The Buyer is strictly obligated to inspect all packages immediately upon physical receipt. Any external transit damage, crushed packaging, missing components, or visible defects must be noted on the courier delivery receipt and reported in writing to Lord of BMW within forty-eight (48) hours of delivery, accompanied by comprehensive digital photographs of the outer carton, shipping label, internal packaging, and the damaged component. Failure to notify us within 48 hours forfeits courier insurance claim rights.
08. Professional Installation Mandate & Technical Disclaimers
Automotive performance parts, suspension systems, turbochargers, braking hardware, engine internals, and electronic modules are high-precision, safety-critical components.
Certified Technician Requirement: Installation of all components sold by Lord of BMW must be performed exclusively by an accredited, professional automotive workshop or certified BMW master technician possessing appropriate diagnostic equipment, calibrated torque tooling, and access to official BMW TIS factory service procedures.
Lord of BMW accepts zero legal liability for personal injury, property damage, mechanical failure, or engine catastrophic damage resulting from improper installation, lack of specialized tooling, incorrect torque sequences, amateur mechanical work, or failure to follow factory installation standards.
09. Intellectual Property & Nominative Fair Use Disclaimer
Independent Entity Disclaimer: M Ali Zeirbani Trading Ltd (Lord of BMW) is an independent specialist retailer and distributor of automotive replacement parts and aftermarket upgrades. We are not affiliated with, endorsed by, sponsored by, or an authorized franchise dealership of Bayerische Motoren Werke AG (BMW AG) or its global subsidiaries.
The terms "BMW", "M Power", "M Performance", "xDrive", "M3", "M4", "M5", and associated model series and chassis designations (e.g., E46, E90, F30, G20) are registered trademarks owned by Bayerische Motoren Werke AG. All trademark mentions, model names, and part illustrations on this website are utilized solely for nominative fair use to identify the vehicular application, technical fitment, and compatibility of the components offered for sale.
10. Limitation of Liability & Motorsport Disclaimers
To the maximum extent permitted by applicable law, M Ali Zeirbani Trading Ltd, its directors, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of vehicle use, towing expenses, rental car costs, storage fees, mechanical downtime, or secondary engine damage arising out of or related to the use of or inability to use components purchased from our portal.
Motorsport & Off-Road Notice: Components explicitly designated for racing, closed-course competition, off-road use, or high-performance track applications may not be compliant with public highway vehicle emissions regulations or roadworthiness standards in your specific jurisdiction. The Buyer assumes all responsibility for verifying local road legality.
11. Governing Law, Jurisdiction & Dispute Settlement
These Terms, and all commercial transactions and disputes arising out of or relating to your relationship with Lord of BMW, shall be governed by, construed, and enforced in accordance with the laws of the Republic of Cyprus, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
Any legal action, lawsuit, or judicial proceeding arising out of these Terms shall be instituted exclusively in the competent District Courts of Nicosia, Cyprus, and each party irrevocably submits to the personal and exclusive jurisdiction of such courts.
